1. About these terms
These Booking Terms apply to services provided by Oleksii Antoniuk, trading as Xup Xup Club.
They apply to all enquiries, quotes, bookings, and services unless a different agreement is confirmed in writing.
2. Services
Xup Xup Club provides live online cooking experiences for teams and professional groups.
The service may include, depending on the agreed format:
a live hosted cooking session
recipe and preparation guidance
event planning and coordination
ingredient delivery or related logistics, where agreed separately
The exact scope of each service is defined in the quote or written confirmation sent before the event.
3. Enquiries and quotes
Sending a contact form or enquiry does not create a booking.
A booking is only confirmed once:
the details of the event have been agreed
a quote or confirmation has been accepted
and, where required, payment or a deposit has been received
All quotes are subject to availability until confirmed.
4. Pricing
Prices are provided individually based on the agreed event format.
Unless stated otherwise in writing, quoted prices cover only the services specifically listed in the quote.
Additional costs may apply for:
ingredient delivery
branded or custom items
extra participants
special logistics
custom event requests
If VAT or any other tax applies, this will be stated in the quote or invoice where required.
5. Payment
Payment terms are stated in the quote or invoice.
Unless otherwise agreed in writing:
payment must be made by the deadline shown on the invoice
the booking may remain unconfirmed until payment is received
late payment may result in postponement or cancellation of the event
For events involving ingredient delivery or custom purchases, advance payment may be required.
6. Client responsibilities
The client is responsible for providing accurate information needed to organise the event, including where relevant:
participant numbers
dietary requirements
delivery details
the preferred platform
the agreed event date and time
the correct billing information
If the client provides incomplete or incorrect information that affects the delivery of the service, Xup Xup Club will not be responsible for delays, failed deliveries, or avoidable disruptions caused by that information.
7. Participant numbers
The expected number of participants must be confirmed before the event within the timeframe agreed during planning.
If participant numbers change after confirmation, adjustments may be accepted depending on timing and event format.
Where costs have already been committed based on the confirmed headcount, those costs may still apply.
8. Ingredient delivery and external suppliers
If ingredient delivery or other physical items are included, delivery depends on third-party logistics providers and supplier availability.
Xup Xup Club will make reasonable efforts to coordinate deliveries correctly and on time, but is not responsible for delays, failures, or issues caused by third-party couriers, customs, incorrect addresses, recipient absence, or events outside reasonable control.
The client is responsible for ensuring that the delivery information provided is correct and complete.
9. Event format and technical requirements
Online sessions are usually hosted through Zoom, Google Meet, Microsoft Teams, or another agreed platform.
Each participant is responsible for having:
a suitable device
a stable internet connection
access to a kitchen space appropriate for cooking
the required ingredients and equipment, unless otherwise agreed
Xup Xup Club is not responsible for problems caused by the participant’s own connection, device, software, or home setup.
10. Changes, rescheduling, and cancellation
If the client needs to reschedule or cancel, the following terms apply unless a different written agreement has been made:
cancellation up to 14 days before the event: 80% refund
cancellation up to 10 days before the event: 60% refund
cancellation within 7 days of the event: non-refundable
If ingredient boxes, custom items, or other third-party purchases have already been ordered, those costs may be non-refundable even if the event is cancelled.
If a rescheduling request is made, Xup Xup Club will try to accommodate it where possible, but this depends on availability and committed costs.
11. Missed attendance
If individual participants do not attend the event, this does not automatically reduce the agreed price.
Any adjustment after the event is at the sole discretion of Xup Xup Club and depends on the agreed format and the costs already committed.
12. Safety and participant responsibility
Participants join and cook at their own responsibility.
Xup Xup Club provides guidance during the session, but each participant remains responsible for:
using kitchen equipment safely
handling knives, heat, and appliances with care
following any allergy or dietary precautions relevant to them
deciding whether they are fit to take part in the activity
To the extent permitted by law, Xup Xup Club is not liable for injuries, accidents, allergic reactions, or damage arising from a participant’s kitchen environment, tools, ingredients, or actions during the event.
A waiver or acknowledgment may be required before participation.
13. Limitation of liability
To the maximum extent permitted by law, Xup Xup Club will not be liable for:
indirect or consequential loss
loss of profit, revenue, business, or opportunity
delays or failures caused by events outside reasonable control
third-party platform, supplier, or courier failures
participant-side technical or household issues
If liability is established, it will in any case be limited to the amount paid by the client for the specific service giving rise to the claim.
14. Force majeure
Xup Xup Club is not responsible for failure or delay in performing services where this is caused by circumstances outside reasonable control, including but not limited to illness, transport disruption, internet or platform outages, supplier failures, severe weather, strikes, government restrictions, or other force majeure events.
In such cases, both parties will try in good faith to reschedule the service or find a reasonable solution.
15. Intellectual property
Recipes, class materials, written guides, event formats, and original content provided by Xup Xup Club remain the intellectual property of Xup Xup Club unless otherwise agreed in writing.
They may not be copied, distributed, recorded for reuse, or commercially reused without prior written permission.
16. Privacy
Any personal data shared in connection with an enquiry or booking will be handled in accordance with the Legal & Privacy page on this website.
17. Governing law
These Booking Terms are governed by the laws of Spain.
Any dispute arising in connection with these terms or the services will be subject to the jurisdiction of the competent courts of Spain, unless applicable law requires otherwise.
